AN ORDINANCE TO RETAIN DINSMORE & SHOHL LLP AS SPECIAL FINANCE COUNSEL

WHEREAS, the Village of Killbuck desires to enter into a finance lease agreement with TCF National Bank for the purchase of a new sewer truck for the Village of Killbuck from the Brown Equipment Company; and

WHEREAS, in connection with such financing, the Village will need to enter into a finance lease agreement with TCF National Bank and prepare and file IRS Form 8038-G on an annual basis, which will require special finance counsel services; and

WHEREAS, the Mayor and Village Council desire to retain the law firm of Dinsmore & Shohl LLP for special finance counsel services in connection with the finance lease agreement; and

WHEREAS, Dinsmore & Shohl LLP has provided an initial quote of a flat fee of $850.00 for special counsel services for Dinsmore & Shohl LLP to review the draft finance lease documents from TCF National Bank and prepare the IRS Form 8038-G.

NOW THEREFORE, BE IT ORDAINED as follows by the Council for the Village of Killbuck, Ohio:

Section 1. The law firm of Dinsmore & Shohl LPP is hereby retained to provide special finance counsel services to the Village in connection with the finance lease to be entered into with TCF National Bank for the acquisition of a new sewer truck for the Village, and Council does hereby authorize the Fiscal Officer and Mayor to execute any agreements for special finance counsel services to be provided by Dinsmore & Shohl LPP.  Council further approves the proposed flat fee of $850.00 for special counsel services for Dinsmore & Shohl LLP to review the draft finance lease documents from TCF National Bank and prepare the IRS Form 8038-G.

Section 2. It is found and determined that all formal actions of this Council concerning and relating to the adoption of this Ordinance were adopted in an open meeting of Council, and that all deliberations of the Council and of any of its committees that resulted in such formal action were in meetings open to the public in compliance with all legal requirements.

Section 3. This Ordinance shall take effect upon adoption by Council and signature of the Mayor or after the earliest period allowed by law.
